Whether you are agreeing a deal price, buying out a shareholder or answering an auditor's request, you need a figure that can be defended. Valtech Valuation provides independent business valuation in Hong Kong – an opinion of what a company, a shareholding or a business unit is worth at a specific date, evidenced to a standard that auditors, counterparties, regulators and the courts will accept.
When Does a Hong Kong Company Need a Business Valuation?
- Financial reporting – supporting the fair value of an unlisted investment, an impairment assessment or deal consideration under HKFRS 13.
- Mergers and acquisitions – giving a board an independent view before it agrees a price, or helping a seller understand what the business should command.
- Shareholder buy-outs and share transfers – exits, buy-backs and transfers under a shareholders' agreement that need a defensible rather than negotiated value.
- Fundraising – an independent reference point for founders and investors.
- Tax and transfer pricing – intra-group restructurings and cross-border transfers that must satisfy tax authorities in more than one jurisdiction.
- Disputes, matrimonial matters and liquidation – reports that will be tested by an opposing expert.
Our Valuation Approaches
Three recognised approaches are available. The purpose, the standard of value and the nature of the business decide which one leads, and a second approach is normally used as a cross-check.
- Income approach (DCF) – forecast free cash flows discounted at a risk-adjusted rate, usually a WACC built from observable market data. Best for established businesses with a supportable forecast.
- Market approach – trading multiples of comparable listed companies or comparable transactions, adjusted for differences in size, growth, margins and marketability.
- Cost / adjusted net asset approach – assets and liabilities restated to fair value. Suited to holding companies, asset-rich entities and loss-making or wind-down situations.
The discount rate is where valuations are most often challenged, so we show how it is derived – risk-free rate, equity risk premium, a relevered beta from a documented peer group, and any size or company-specific premium supported by evidence – rather than simply stating a figure.
Minority Discounts, Control Premiums and Standard of Value
A minority stake is not simply a pro-rata share of the whole company. Discounts for lack of control and lack of marketability may apply, while a controlling interest may justify a premium. Whether these adjustments are appropriate depends on the purpose and the standard of value – fair value under HKFRS 13, market value under the International Valuation Standards and "fair value" in a shareholder dispute are different concepts. We agree this at the scoping stage so the report answers the right question.

Frequently Asked Questions
Can you value a loss-making company?
Yes. Losses call for care rather than an absence of value. Depending on the case we may rely on a forecast showing the path to profitability, revenue multiples, an adjusted net asset approach or probability-weighted scenarios.
Will I receive a single figure or a range?
Financial reporting generally needs a point estimate. Transaction and negotiation support is often better served by a range with sensitivity analysis. We agree the right output during scoping.
What is the difference between enterprise value and equity value?
Enterprise value is the value of the operating business regardless of financing; equity value is what remains for shareholders after net debt and other claims. Our reports set out the bridge between the two explicitly.
Why Hong Kong Companies Choose Valtech
A valuation report rarely stays on one desk. It is reviewed by auditors and, depending on its purpose, by the Stock Exchange, tax authorities, the courts, lenders or international investors and parent companies. The credibility of the people behind the report matters as much as the model.
- A strong team with outstanding international credentials – our directors hold CPA, CFA, FRM, MRICS, ABV (AICPA) and China Certified Public Valuer qualifications gained in Hong Kong, the United States, the United Kingdom and Mainland China. When your valuation is scrutinised by authorities, auditors and international stakeholders, credentials that every reviewer recognises give the conclusion immediate standing.
- Senior members closely monitor every valuation – each engagement is led by a director who is personally involved in the analysis and signs the report. Your concerns, and your auditor's questions, are addressed by an experienced professional who knows your file – not handed to a junior team.
- Built for audit challenge – sourced assumptions, methodology justified against the applicable standard and visible sensitivities. Auditor queries are handled within the engagement.
- ISO 9001 certified quality management – defined review steps before any report is released.
- Proven track record – more than 1,000 valuations completed and 18 years serving Hong Kong companies.
- Regional reach – offices in Hong Kong and Singapore, with reports in English, Traditional Chinese or Simplified Chinese.
