The Guideline Public Company Method (GPCM), also known as trading comparables or comparable company analysis, is a core Market Approach technique. It values a business by applying valuation multiples observed for similar listed companies to the subject company's financial metrics.
When to Use the GPCM
- Fair value of unlisted equity investments for funds, family offices and corporate portfolios
- IPO pricing and pre-IPO valuations
- Transactions and fairness opinions, as a market cross-check to a DCF
- Impairment testing, to support fair value less costs of disposal
- Industries with a sufficient number of listed peers
How the GPCM Works
- Understand the subject company: business model, size, growth, margins and risk.
- Select guideline companies: listed peers with similar products, markets, scale and business models, screened using financial databases and public filings.
- Calculate multiples: enterprise value multiples (EV/Revenue, EV/EBITDA, EV/EBIT) and equity multiples (P/E, P/B), on both trailing and forward bases.
- Analyse and adjust: compare growth, profitability, size and risk, and select a point within the peer range rather than simply using the median.
- Apply to the subject: for example, selected EV/EBITDA × subject EBITDA = indicated enterprise value.
- Bridge to equity and adjust: deduct net debt, then consider control premiums or a discount for lack of marketability (DLOM) for private interests.
Strengths and Limitations
Strengths: the method reflects current market sentiment, relies on observable data and is easy to explain to boards and investors. Limitations: truly comparable peers can be scarce, especially for niche or early-stage businesses, and market multiples can be distorted by temporary sentiment.
