The Guideline Transaction Method, widely known as the Precedent Transaction Method, is a Market Approach technique. It values a business using the multiples paid in completed mergers and acquisitions of comparable companies. Because the deals usually involve the purchase of control, the resulting value typically reflects a control-level, strategic price.
When to Use the Precedent Transaction Method
- Acquisitions and disposals of controlling stakes, including setting price expectations for buyers and sellers
- Fairness opinions and independent valuations for shareholder circulars
- Private company valuation, where public peers are limited but deal data exists
- Purchase price allocation, as a check on the overall deal value
How the Method Works
- Define the search: same industry and business model, similar size, relevant geographies and a recent time window (typically 3 to 5 years).
- Gather deal data: transaction value, stake acquired, target revenue and EBITDA, and the form of consideration, from deal databases, announcements and circulars.
- Calculate implied multiples: EV/Revenue, EV/EBITDA and P/E, grossing up partial-stake deals to an implied 100% enterprise value.
- Screen and normalise: exclude distressed sales and outliers, and consider how market conditions at the deal date compare with today.
- Apply and adjust: apply the selected multiple to the subject's metrics, then adjust for synergies, deal structure (such as earn-outs) and differences in risk or growth.
- Reconcile: compare with the GPCM and DCF results to reach a supportable conclusion.
Strengths and Limitations
Strengths: the method is grounded in real prices paid and captures control premiums and synergies. Limitations: deal data can be incomplete, dated or deal-specific, and few transactions may be truly comparable.
